These terms govern the buyer-request and supplier-response features made available through the SpillSage marketplace. They supplement the Terms of Use.
1. Marketplace role
SpillSage provides a structured channel for authenticated buyers to describe a commercial requirement and for eligible suppliers to respond. SpillSage is not the buyer or supplier in a resulting transaction, does not guarantee a response, match, availability, price, quality, or commercial outcome, and is not a party to an agreement reached between users unless expressly agreed in writing.
2. Buyer requests
A buyer may submit a request only through its authenticated account. The buyer is responsible for the accuracy, lawfulness, and completeness of the request and must not include information that it is not entitled to disclose. Requests are linked to the authenticated buyer and private responses are visible only through the buyer’s authorised workspace.
3. Supplier responses
Supplier identity is derived by SpillSage from the responding authenticated account and its eligible seller profile; it is not accepted from client-supplied identity data. A supplier may respond only where the request is open and the supplier satisfies the applicable eligibility controls. The same supplier may not submit duplicate responses to the same request.
4. Accuracy and conduct
Buyers and suppliers must provide accurate information, communicate professionally, respect confidentiality, and comply with applicable law. A supplier must not misrepresent its identity, qualifications, verification status, or authority. A buyer must not use the marketplace to solicit unlawful, deceptive, or harmful activity.
5. Independence and no paid preference
Payment for a SpillSage service does not buy marketplace preference, a favourable assessment, a trust outcome, or a ranking advantage. Marketplace eligibility and response handling remain subject to the applicable platform controls and are independent of any payment outcome.
6. Direct commercial arrangements
Users remain responsible for due diligence and for the terms of any arrangement they make with another user. SpillSage does not guarantee payment, performance, delivery, solvency, legal compliance, or the suitability of any buyer or supplier. Users should obtain independent professional advice where appropriate.
7. Records and enforcement
SpillSage may maintain operational records of requests, responses, notifications, and related audit activity to operate and protect the marketplace. Access to private records is governed by account ownership and role-based controls. SpillSage may restrict a marketplace feature where necessary to protect users, investigate misuse, or comply with applicable law.
